The terms and conditions for using Taxmiser, operated by M3CA LTD.

Who we are

Taxmiser is a trading service of M3CA LTD, 35 Berkeley Square, Berkeley Suite, Mayfair, London, W1J 5BJ, United Kingdom. When you use Taxmiser you are contracting with M3CA LTD. You can contact us at info@m3ca.com or on (+44) 20 3978 6347.

M3CA is the trading name of M3CA LTD and M3CA LLC. Taxmiser memberships are contracted with M3CA LTD. Where you also buy other M3CA services, the M3CA terms and the schedule for that service apply to that work.

The service

Taxmiser provides general educational tax guidance, calculations and organisation tools. It is not personal tax, legal, financial or investment advice, and does not take account of your full circumstances. You should check important decisions with a qualified adviser before acting.

Acceptance

By creating an account, using the tools, or continuing to browse the site, you agree to these terms and conditions in full. If you do not agree with any part of them, you must not use the service.

Your account

Keep your sign-in details secure and confidential and notify us immediately of any unauthorised use. You are responsible for activity under your account. You must provide accurate information and keep it up to date. You must be at least 18 years old and old enough to form a binding contract, or have authority to bind your organisation.

Acceptable use

You agree to use the service only for lawful purposes. You must not use it fraudulently or for spam, infringe intellectual property rights, attempt unauthorised access to our services or systems, interfere with security, introduce malware, probe or scrape the service, reverse engineer it, resell or redistribute it, or circumvent technical limits.

Membership and payments

Subscriptions renew at the selected interval until you cancel. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics follow Paddle's Buyer Terms. Fees are as shown at checkout. Cancellation takes effect at the end of the current paid period.

Ownership and licence

M3CA LTD retains ownership of Taxmiser, its software, documentation, branding and original content. We grant you a limited, non-exclusive, non-transferable right to use the service for your own tax planning while your account is in good standing. Content you save in the service remains yours; you grant us a limited licence to host and process it solely to provide the service to you.

Confidentiality

Both parties will keep confidential any proprietary information disclosed during the provision of the service. Information that is publicly available, independently developed, or required to be disclosed by law is not confidential information.

Service level

We warrant that our services will be performed with reasonable skill and care, but we do not guarantee uninterrupted or error-free service. We may modify or discontinue parts of the service. Calculations are estimates based on the ranges and figures you enter and the tax rules we have modelled. Tax law changes, and your exact position depends on many personal details we do not ask for.

Suspension and termination

You may close your account at any time; closure of a paid membership takes effect at the end of the period you have paid for, and your data is then handled as described in the privacy policy. We may suspend or terminate access immediately for non-payment, material breach of these terms, fraud, security risk, or repeated or serious misuse.

Liability

To the fullest extent permitted by law, M3CA LTD disclaims all implied warranties, including warranties of merchantability and fitness for a particular purpose, and excludes liability for indirect, incidental, consequential or special damages, including loss of profits, revenue, data or goodwill. Our aggregate liability is capped at the fees you paid in the previous twelve months. Nothing in these terms excludes liability for fraud, death or personal injury where the law does not allow it.

Indemnification

You agree to indemnify and hold harmless M3CA LTD, its officers, employees and agents against claims, liabilities, damages, losses and expenses, including legal fees, arising from your misuse of the service, your breach of these terms, or your infringement of any third-party rights.

Force majeure

M3CA LTD is not liable for any failure or delay in performing our obligations where it is caused by circumstances beyond our reasonable control, including natural disasters, labour disputes and governmental action.

Governing law and disputes

These terms are governed by and construed in accordance with the laws of England and Wales. Disputes will first be addressed through negotiation; if they cannot be resolved by negotiation, they will be decided by the courts of England and Wales.

Changes to these terms

M3CA LTD may modify these terms at any time. Changes take effect when posted on our website, and your continued use of the service after a change constitutes acceptance of the updated terms. If any provision is found invalid, the remaining provisions stay in full force.
